terms of service
These terms are the agreement between Runmetal Inc. ("runmetal", "we") and the machine shop whose account you create or use ("you"). By creating an account or using the service, you agree to them.
what the service is
runmetal sends requests for quotes to the material vendors you choose, and to additional suppliers we choose for you, by email, in your shop's name; collects the replies in one place; and generates a purchase order for the response you award. That is the whole service. Vendors and suppliers interact with it only by replying to email — they have no accounts and owe runmetal nothing.
we send your requests to more suppliers
To get you more quotes to compare, runmetal may send your request for quote to suppliers you did not select — chosen by us from our supplier directory for the materials you need and where you need them. They receive the same request your own vendors do, sent in your shop's name: your shop name, ship-to address, needed-by date, material list, and notes. Write nothing in a request you would not send to a supplier you have never dealt with.
Suppliers we add are marked in your RFQ inbox, and their replies sit beside your own vendors' replies. Nothing is ordered from them unless you award their response; if you do, that supplier is added to your vendor book. We do not promise that an added supplier will reply, or that any reply will beat the prices you already get. If you do not want your requests sent beyond the vendors you choose, email us and we will stop.
the pilot is free
The service is currently provided free of charge. If we introduce paid plans, we will give you at least 30 days' written notice before anything you use starts costing money, and you can export your data and leave instead. During the pilot, features may change; we will not silently remove your data.
your account
Keep your credentials to yourself and your registered information accurate — the service sends email in your shop's name, from the contact details you give it. You are responsible for what is done under your shop's account, including by teammates you invite. Tell us immediately if you believe the account is compromised.
you authorize us to email on your behalf
When you send an RFQ, a reply, or a purchase order through runmetal, you authorize us to send that email from our sending domain with your shop's name on it, and to receive, store, and show you the replies. The vendor is the only recipient — we do not copy your own messages back to you by email. Every message sent and received is kept in your account as your record, and you can export it at any time.
Only send what you would send from your own mailbox: real requests for material you intend to buy — no spam, nothing unlawful. The same authorization covers the requests we send in your shop's name to additional suppliers, as described above.
your data
Your vendor book, material lists, quotes, and orders are yours. You grant us the license needed to operate the service on them — store them, transmit them to the vendors you choose and to the additional suppliers described above, and show them back to you — and you confirm you are entitled to give us the vendor contact details you upload.
We never show your data to another shop; the one aggregate exception is described in the privacy policy, which is part of these terms.
quotes are the vendor's, and orders are yours
Prices, lead times, and availability in a vendor's reply come from the vendor. We display them; we do not verify, guarantee, or hold them, and we cannot promise any vendor will reply at all. Where runmetal reads numbers out of an email automatically, that reading is an aid: the service requires you to confirm a response against the vendor's own words before awarding it, and you are responsible for that confirmation.
A purchase order generated by runmetal is your order, placed with your vendor. runmetal is not a party to it, not a buyer, seller, or broker, and handles no payment — the vendor ships to you and invoices you directly, and any dispute about price, quality, delivery, or payment is between you and the vendor.
export control
runmetal is a transmission layer. It is not built to receive, review, or store export-controlled technical data, and it does not screen, classify, or filter anything you submit or anything a vendor sends back.
You agree not to upload drawings, specifications, or files subject to the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), or any other export control, and not to include controlled technical data in material descriptions or notes. If a job involves controlled technical data, source that material outside runmetal. Remember that a request may reach suppliers you did not select and have not vetted.
You are responsible for the content you submit and for your own compliance with export-control law. Every account holder acknowledges this before using the service, and we record which version of that notice they accepted.
we do not inspect what passes through
runmetal does not verify, certify, screen, or inspect material, vendors, quotes, attachments, or any other content submitted through the service or received from a vendor. Inbound vendor email and its attachments are stored exactly as sent, unread and unexamined by us except as needed to operate and support the service.
Nothing in the service should be relied on as a check, a filter, or an approval of content. That includes attachments a vendor sends you through runmetal: they reach you the way they reached us.
acceptable use
Do not use the service to break the law, to send unsolicited bulk email, to probe or disrupt the service's security, or to scrape or resell its data. We may suspend an account doing these things; when practical, we will warn you first.
our stuff
The service — its software, design, and name — belongs to us. These terms give you the right to use it, not to copy it.
leaving
You may stop using the service at any time. Email us and we will close the account and handle your data as the privacy policy describes, including giving you an export of your records first if you ask. We may terminate accounts that materially breach these terms.
disclaimers and limits
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that email will be delivered, that vendors will respond, or that automated reading of vendor replies is accurate or complete.
To the maximum extent permitted by law, Runmetal Inc. is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, and our total liability arising from the service is limited to the greater of US $100 or the amount you paid us in the twelve months before the claim. Some jurisdictions do not allow certain limits; these apply to the fullest extent yours does.
You will defend us against third-party claims arising from the content you send through the service, or from your orders and disputes with vendors.
termination
We may suspend or terminate an account that breaches these terms — including the export-control section above — and we may do so immediately where continuing would put us or another user at legal risk. You may close your account at any time (see "leaving"). On termination for any reason, we handle your data as the privacy policy describes.
the legal frame
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, and disputes belong to the state or federal courts located in Delaware. If part of these terms is unenforceable, the rest stands. These terms plus the privacy policy are the whole agreement between us about the service.
changes
If we change these terms materially, we will email account holders at least 14 days before the change takes effect. Continuing to use the service after that is acceptance; leaving before it is not.
